Provider Agreement

Additional obligations for anyone publishing a storefront, listing services or products, or accepting bookings through Cove.

1. Relationship to the Terms

This Provider Agreement supplements the Cove Terms of Service. It applies when you create a provider profile, submit a storefront for review, publish a service or product, or accept a booking. If this Agreement conflicts with the general Terms on a provider-specific issue, this Agreement controls.

You must separately accept this Agreement and the Marketplace Rules before your first storefront submission. Cove records the accepted version and timestamp.

2. Independent business responsibility

You operate independently and are not an employee, worker, agent, partner, franchisee, representative, or joint venturer of Cove or the University of Kentucky. You decide whether, when, where, and how to provide your services, subject to your commitments to buyers and platform rules.

You are solely responsible for your business formation, licenses, permits, certifications, insurance, taxes, reporting, workers, assistants, tools, materials, locations, transportation, and compliance with law and university rules. Cove does not provide tax, legal, licensing, insurance, or professional advice.

3. Accurate storefronts and listings

  • Use your real business identity or a lawful trade name and provide accurate contact and campus information.
  • Describe qualifications, experience, pricing, duration, materials, limitations, service areas, availability, and cancellation terms truthfully.
  • Do not claim a license, certification, background check, insurance policy, university approval, or Cove endorsement that you do not have.
  • Do not use stolen work, misleading before-and-after images, hidden fees, bait pricing, fake scarcity, or fabricated reviews.
  • Promptly correct inaccurate information and pause listings you cannot safely or lawfully fulfill.

4. Services, products, and safety

You must provide services and products with reasonable care, skill, sanitation, safety, and professionalism. You must follow all instructions, warnings, age restrictions, product-safety requirements, campus policies, and laws applicable to the offering.

You may not offer prohibited items or activities listed in the Marketplace Rules. Cove may require proof of identity, licensing, insurance, training, ownership, sourcing, or legal compliance before activating or continuing a listing.

You are responsible for anyone who assists you and for damage, injury, loss, or misconduct arising from your performance, materials, equipment, products, premises, or personnel.

5. Bookings, prices, payment, and refunds

Honor accepted bookings, arrive prepared and on time, communicate material changes promptly, and maintain accurate availability. Do not accept work you cannot legally, safely, or competently perform.

State the complete price and required deposit before confirmation. Cove does not currently process payments. You are responsible for lawful payment methods, receipts, taxes, chargebacks, refunds, and compliance with your disclosed cancellation policy and the Cove Booking Policy.

You may not retain payment for a service you did not provide unless a lawful and clearly disclosed cancellation or deposit term permits it. You must respond reasonably to buyer disputes and provide relevant records when Cove investigates a platform complaint.

6. Buyer information and communications

Use buyer information only to evaluate, schedule, perform, document, and support the requested transaction or as otherwise authorized by the buyer. Do not sell, scrape, publish, or use buyer information for unrelated marketing, retaliation, harassment, or identity verification.

Do not request passwords, one-time codes, full payment credentials, government identifiers, unnecessary medical information, or access to university accounts. Booking notes must contain only information reasonably needed for the appointment.

7. Content and reviews

You must own or have permission to use every logo, photo, video, description, testimonial, and work sample you publish. Obtain clear permission before posting a customer’s image, private space, communications, or identifying information.

Do not buy, trade, pressure, condition discounts on, or retaliate over reviews. You may ask for an honest review without dictating the rating or content.

8. Verification, monitoring, and enforcement

Cove may review provider profiles and request supporting information, but review does not guarantee or endorse you. Cove may reject, pause, limit, suspend, or remove a storefront or listing based on incomplete information, safety concerns, complaints, legal risk, inactivity, rule violations, or inability to verify a material claim.

You will reasonably cooperate with safety, fraud, refund, intellectual-property, and legal investigations. Cove may preserve and disclose records as described in the Privacy Policy and Terms.

9. Indemnification and risk allocation

The disclaimers, liability limitations, and indemnification provisions in the Terms apply to your provider activity. In addition, you will defend, indemnify, and hold harmless Cove and the individual operating Cove from claims arising from your business, offerings, personnel, taxes, licenses, products, services, injuries, property damage, refunds, content, or legal violations.

10. Changes and termination

You may stop offering services by deactivating listings and completing or lawfully resolving existing commitments. Cove may require renewed acceptance after a material update. Provider obligations relating to completed transactions, disputes, records, intellectual property, indemnification, and safety survive termination.

Questions, legal notices, privacy requests, and safety reports may be submitted through Cove’s in-app Help & Support form. If you cannot access your account, contact Cove through the Help Center or direct message @joincoveapp. Do not send passwords, one-time codes, payment credentials, government identification numbers, or intimate images through social media.
